Terms of Service

⚠️ Incorporation Notice: Archon is currently operating as an unregistered business. Upon incorporation, these Terms will be updated to reflect the registered legal entity, registration number, and jurisdiction.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Subscriber," "you," or "your") and Archon governing your access to and use of the Archon platform, website, and related services (collectively, the "Service").

By creating an account or otherwise accessing the Service, you confirm that:

  • You have read and understood these Terms
  • You have authority to bind yourself or the organisation you represent
  • You are at least 18 years of age

2. Description of Service

Archon is an AI-powered sales automation platform that enables businesses to deploy AI agents for lead qualification, appointment booking, automated follow-up, and multi-channel customer communication. Supported channels: website widget, Gmail, Facebook Messenger, Instagram, WhatsApp, and voice.

2.1 AI-Generated Content

You acknowledge that:

  • Responses delivered by Archon agents are generated by AI language models, not authored by a human
  • AI-generated content may occasionally be inaccurate, incomplete, or inappropriate
  • You are solely responsible for configuring your agents appropriately and reviewing escalated conversations
  • Business decisions made using AI output remain your responsibility

2.2 Beta Features and Roadmap

Features described as "coming soon," "on the roadmap," or in beta do not constitute a contractual commitment to deliver specific functionality by any particular date. Archon reserves the right to modify, delay, or discontinue roadmap features without liability.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of forming a legally binding contract. The Service is intended for business use.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorised access at support@archon.qd.je

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration. Accounts registered with false information may be suspended or terminated.

4. Pricing and Payment

4.1 Pricing

Archon's pricing is provided on request. Contact us at hello@archon.qd.je or use the contact form. Egypt-based subscribers are quoted in EGP; international subscribers in USD. A binding agreement on price is established only when confirmed in writing by Archon.

4.2 Billing

  • Subscriptions are billed on a recurring basis (monthly or annual, as selected)
  • Payment is processed by Stripe
  • All fees are exclusive of applicable taxes

4.3 Subscription Changes

  • Upgrades take effect immediately with prorated charges
  • Downgrades take effect at the start of the next billing cycle

4.4 Payment Failures

If payment fails, we will retry up to three times over seven days. Access may be suspended if payment remains outstanding. Your data is retained for 30 days to allow resolution.

4.5 Refund Policy

All fees paid to Archon are non-refundable, except as required by applicable law. Exceptions may be made at Archon's sole discretion in cases of demonstrable technical failure on our part. To request an exception, email support@archon.qd.je within 7 days of the billing date in question.

5. Acceptable Use

You may use Archon only for lawful business purposes. See our full Acceptable Use Policy for detailed prohibited uses and enforcement.

6. Your Data and Content

6.1 Ownership

You retain full ownership of your business data, knowledge base content, end customers' conversation data, and any content you upload to Archon.

6.2 License to Archon

You grant Archon a limited, non-exclusive, royalty-free licence to store, process, and use your content solely to provide the Service.

6.3 Your Responsibilities as Data Controller

You represent and warrant that:

  • You have a lawful basis to collect and process end customer data through Archon
  • You have provided appropriate disclosures and obtained necessary consents from end customers
  • You will honour any data subject requests from end customers
  • Your use of Archon complies with all applicable data protection laws

Where you are subject to GDPR, our Data Processing Agreement is incorporated into these Terms by reference.

6.4 Data Upon Termination

A 30-day grace period applies after cancellation. After the grace period, all data is permanently deleted. Request a data export during this period by emailing support@archon.qd.je.

7. Integrations and Third-Party Services

Your use of integrations (Meta, Google, Stripe, Clerk) is additionally governed by those platforms' terms. Archon is not responsible for outages, API changes, or policy changes by third-party platforms.

8. Service Availability

Archon aims to provide reliable service but does not guarantee uninterrupted access. The Service is provided on an "as available" basis. A formal SLA with defined uptime commitments is available on Company/Enterprise plans — contact hello@archon.qd.je.

9. Intellectual Property

All rights in the Archon platform — software, design, AI models, branding, and documentation — are owned by Archon. These Terms grant no rights in Archon's IP beyond the limited licence to use the Service.

If you provide feedback or suggestions, you grant Archon a perpetual, irrevocable, royalty-free licence to use that feedback without restriction or compensation.

10. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service, except as required by law or to service providers bound by equivalent confidentiality obligations.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the maximum extent permitted by applicable law, Archon disclaims all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You assume full responsibility for evaluating the suitability of AI-generated outputs before acting on them.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Archon's total aggregate liability shall not exceed the total fees you paid in the three months immediately preceding the claim
  • Archon shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption
  • Archon shall not be liable for harm caused by AI-generated content, provided we have not acted with gross negligence or wilful misconduct

Nothing limits liability for fraud, death, or personal injury caused by negligence.

13. Indemnification

You agree to indemnify and hold harmless Archon from any claims arising out of your use of the Service in violation of these Terms, your violation of applicable law, your end customers' data, content you deploy through Archon agents, or your violation of third-party platform terms.

14. Term and Termination

14.1 Termination by You

Cancel at any time through the billing portal or by emailing support@archon.qd.je. Cancellation takes effect at the end of the current billing period. No refunds for unused time.

14.2 Termination by Archon

We may suspend or terminate your access immediately for material breach, legal requirement, fraudulent or abusive activity, or where continued provision creates legal or reputational risk. We may terminate for any other reason with 30 days' written notice.

15. Governing Law and Disputes

These Terms are governed by the laws of the Arab Republic of Egypt. Disputes shall first be attempted through good-faith negotiation, then submitted to the competent courts in Cairo, Egypt.

Note for EU/EEA subscribers: Nothing in this clause limits your rights under mandatory consumer protection laws in your country of residence.

16. Changes to Terms

For material changes, we will update the "Last Updated" date and notify active subscribers by email at least 14 days before changes take effect. Continued use constitutes acceptance.

17. General Provisions

  • Entire Agreement: These Terms together with the Privacy Policy, Cookie Policy, and applicable DPA constitute the entire agreement
  • Severability: If any provision is unenforceable, the remainder continues in full force
  • No Waiver: Failure to enforce any right does not waive it
  • Language: English prevails in case of any translation
